2. Scope and Acceptance of These Terms
Remember Portugal sells exclusively to business and professional customers (B2B). Our products and services are not offered for private, non-professional purchases.
By requesting a quotation, accepting a quotation or placing an order, the Customer acknowledges that they are acting for professional purposes and agrees to these Terms and Conditions.
Each quotation, together with any written specifications, agreed product selections, quantities, personalisation details, delivery arrangements and other conditions expressly accepted by Remember Portugal, forms part of the agreement between the parties.
Any purchasing terms or conditions issued by the Customer shall not apply unless expressly accepted in writing by Remember Portugal.
Any amendment to these Terms and Conditions or to an agreed order must be expressly accepted in writing by both parties.
These Terms and Conditions are governed by Portuguese law, without prejudice to any mandatory legal provisions that may apply.
3. Products and Descriptions
Remember Portugal endeavours to ensure that product descriptions, images, dimensions, colours and other information published on its website or included in quotations are accurate and up to date.
However, some products are handmade, artisanal or produced using natural materials. Minor variations in colour, texture, finish, dimensions or appearance may therefore occur and shall not, in themselves, constitute a defect or non-conformity where the product remains consistent with the agreed specifications.
Product images are provided for illustrative purposes. The actual appearance of a product may vary slightly from its representation on screen.
The specifications expressly agreed in the quotation shall prevail over general descriptions on the website.
4. Product Availability and Substitutions
All products are subject to availability.
If a product becomes unavailable after an order has been agreed, Remember Portugal will inform the Customer as soon as reasonably possible.
No substitute product shall be supplied without the Customer’s prior agreement in writing.
If no acceptable alternative is available, the parties shall agree on an appropriate solution. Where payment has already been received for products that cannot be supplied, the amount attributable to those products shall be refunded, unless another solution has been agreed between the parties.
5. Prices, VAT and Quotations
All prices are stated in euros (EUR).
Unless expressly stated otherwise, prices quoted by Remember Portugal exclude VAT. VAT shall be charged at the applicable rate in accordance with Portuguese and European Union tax legislation.
For supplies subject to Portuguese mainland VAT, the standard rate is currently 23%, unless a different rate or tax treatment is legally applicable to the transaction.
The final price, including any applicable VAT, delivery charges, personalisation costs and other agreed expenses, will be specified in the quotation or invoice.
Quotations are valid for the period indicated in the quotation. If no validity period is specified, Remember Portugal may confirm the continued validity of the quotation before accepting the order.
Any change in the requested quantities, product specifications, personalisation, packaging, delivery arrangements or other agreed requirements may result in a revised quotation.
Prices already agreed and paid for shall not be changed retroactively, except where required by law or expressly agreed by the parties.
6. Orders and Order Confirmation
Orders are based on the quotation and specifications agreed between Remember Portugal and the Customer.
The Customer is responsible for reviewing the quotation carefully, including product descriptions, quantities, personalisation, delivery address, delivery date and all other relevant details before proceeding with payment.
An order is considered confirmed only once the full amount due has been received and credited to Remember Portugal’s bank account.
Acceptance of a quotation, a purchase order, an email confirmation or proof that a bank transfer has been initiated does not, by itself, constitute confirmation of the order.
Unless otherwise expressly agreed in writing, Remember Portugal will not begin procurement, production, personalisation, preparation, dispatch or delivery before receiving the full payment due.
7. Payment Terms and Bank Charges
Unless otherwise expressly agreed in writing, all orders must be paid in full in advance by bank transfer.
Payment is considered received only when the full amount due has been credited to Remember Portugal’s bank account.
The Customer is responsible for all bank charges, transfer fees, intermediary bank fees, correspondent bank charges and currency conversion costs associated with the payment, including those arising from international bank transfers.
The Customer must ensure that Remember Portugal receives the full invoiced amount, net of any bank charges or transfer costs. Any shortfall resulting from such charges must be paid by the Customer before the order can be processed or delivered.
Remember Portugal will not prepare, dispatch or deliver any products until full payment has been received in its bank account. No gifts will be delivered before full payment has been received.
Proof of payment or a bank transfer confirmation does not constitute receipt of payment.
Where an order is amended after confirmation and additional payment is required, the corresponding amount must be received before the amended order is implemented, unless otherwise agreed in writing.
8. Amendments to Orders
Any request to amend a confirmed order must be submitted in writing and is subject to Remember Portugal’s written approval.
Depending on the nature and timing of the requested amendment, changes may affect the price, product availability, production schedule and delivery date.
Any additional costs resulting from an approved amendment shall be communicated to the Customer. Where additional payment is required, it must be received before the amended order is implemented, unless otherwise agreed in writing.
Remember Portugal cannot guarantee that amendments will be possible once products have been ordered from suppliers, produced, personalised, packed or dispatched.
9. Cancellation Policy
Any request to cancel an order must be submitted in writing to hello@remember-portugal.com.
Cancellation charges shall be assessed by reference to the agreed delivery date and the costs, commitments and work already undertaken for the order.
9.1. Cancellation more than 60 days before delivery
Where the Customer requests cancellation more than 60 calendar days before the agreed delivery date, the order may be cancelled without a cancellation charge, provided that no specific non-recoverable costs or commitments have already been incurred for that order.
Where Remember Portugal has already incurred costs or entered into commitments that cannot reasonably be cancelled or recovered, the Customer may be charged the documented costs attributable to the order, subject to applicable law and the terms agreed between the parties.
9.2. Cancellation 60 days or less before delivery
Where cancellation is requested 60 calendar days or less before the agreed delivery date, the Customer may be charged for the costs and commitments attributable to the order, including, where applicable:
- Products already purchased or ordered from suppliers;
- Production, manufacturing or personalisation costs;
- Packaging, printing, artwork and preparation costs;
- Logistics, delivery arrangements and other services already booked;
- Other documented, non-recoverable expenses directly attributable to the order.
The amount charged shall reflect the costs and commitments properly attributable to the cancelled order, subject to applicable law and any specific terms agreed in the quotation.
If the amount already paid exceeds the cancellation charges properly due, the balance shall be refunded to the Customer. If the applicable charges exceed the amount already paid, Remember Portugal may claim the outstanding amount where contractually and legally justified.
9.3. Customised and made-to-order products
Orders involving customised, personalised or made-to-order products may generate substantial costs as soon as procurement, production or personalisation begins.
The Customer acknowledges that these costs may be non-recoverable even when the order is cancelled well before the delivery date.
Any specific cancellation conditions expressly agreed in the quotation shall also apply, provided they are consistent with applicable law.
This cancellation policy does not affect any rights or remedies available to either party in the event of a breach of contract or under mandatory applicable law.
9.4. Refunds following cancellation
Where a cancellation results in a refund being due, the refundable amount shall be calculated after deduction of the cancellation charges properly payable under these Terms and Conditions.
Any refund shall normally be made by bank transfer to the Customer’s bank account. Any bank charges, intermediary bank fees or currency conversion costs associated with the refund shall be borne by the Customer to the extent permitted by applicable law.
10. Customised Products and Customer Approvals
Where an order includes customised or personalised products, the Customer is responsible for providing accurate and complete information, including names, logos, text, artwork, colours, dimensions, quantities and any other specifications required.
The Customer must carefully review and approve all proofs, mock-ups, designs, text and other materials submitted for approval before production or personalisation begins.
Remember Portugal shall not be responsible for errors resulting from information supplied or approved by the Customer, except where the error is attributable to Remember Portugal.
Changes requested after approval may incur additional costs and may affect the delivery date. Remember Portugal cannot guarantee that changes will be possible once production or personalisation has begun.
The Customer confirms that they have the necessary rights and permissions to use any logos, images, text, trademarks or other materials supplied to Remember Portugal for the purpose of fulfilling the order.
11. Delivery Area and Delivery Arrangements
Unless expressly agreed otherwise in writing, Remember Portugal delivers orders only within mainland Portugal.
Delivery arrangements, including the delivery address, intended recipient, delivery date and any special instructions, shall be agreed with the Customer.
The Customer is responsible for providing complete and accurate delivery information and ensuring that the recipient or delivery location can accept the delivery.
Where products are to be delivered to a hotel, event venue, office, conference centre or other third-party location, the Customer is responsible for ensuring that the venue is informed of the delivery and that the delivery arrangements are suitable.
Any additional costs arising from incorrect delivery information, changes requested after dispatch, failed delivery, re-delivery, storage or other circumstances attributable to the Customer may be charged to the Customer where contractually and legally justified.
Remember Portugal will make reasonable efforts to coordinate deliveries with carriers and third-party venues but cannot guarantee the actions, procedures or acceptance arrangements of a third party.
12. Delivery Times
Unless otherwise specified in the quotation, the usual preparation and delivery timeframe is approximately two to four weeks after full payment has been received and all required product selections, specifications and approvals have been finalised.
This timeframe is indicative and may vary depending on product availability, supplier lead times, production requirements, personalisation, order quantities and transport arrangements.
Where an order relates to an event or a specific date, the Customer must inform Remember Portugal of the required delivery date when requesting the quotation.
Remember Portugal will make reasonable efforts to meet the agreed delivery date. However, delivery times may be affected by circumstances beyond its reasonable control, including supplier delays, transport disruptions, strikes, adverse weather, public authority restrictions or force majeure events.
If a material delay becomes apparent, Remember Portugal will inform the Customer as soon as reasonably practicable and discuss the available options.
Nothing in this section excludes or limits any liability or remedy that cannot legally be excluded or limited.
13. Receipt of Goods and Transport Damage
The Customer should inspect the products as soon as reasonably practicable following delivery.
Any visible transport damage, missing packages, incorrect quantities or apparent discrepancies should be reported to Remember Portugal in writing at hello@remember-portugal.com as soon as possible, preferably with photographs of the products, packaging and any visible damage.
The Customer should retain the original packaging and the affected products while the matter is being reviewed and should follow any reasonable instructions provided by Remember Portugal.
Prompt notification helps Remember Portugal investigate the issue with its suppliers or carrier and determine the appropriate solution.
Failure to report an issue immediately shall not, in itself, remove any rights or remedies available to the Customer under applicable law.
14. Returns, Refunds and Non-Conforming Products
All orders placed with Remember Portugal are intended for professional use and are prepared or supplied in accordance with the specifications agreed with the Customer.
Once an order has been delivered, products may not be returned or refunded solely because the Customer has changed its mind, no longer requires the products or is dissatisfied with its purchasing decision. Returns of products that conform to the agreed specifications will only be accepted where Remember Portugal has expressly agreed to do so in writing.
This policy is particularly applicable to customised, personalised, made-to-order products and gift boxes prepared specifically for the Customer.
However, this policy does not exclude or limit any rights or remedies available to the Customer under mandatory applicable law where products are defective, damaged before the transfer of risk, incomplete or materially inconsistent with the specifications agreed in the quotation.
In such circumstances, the Customer should notify Remember Portugal in writing at hello@remember-portugal.com, providing the order reference, a description of the issue and supporting photographs or other relevant evidence where available. The Customer should notify Remember Portugal within the applicable legal or contractual time limits.
Remember Portugal may request further information or an inspection of the affected products before determining the appropriate solution.
Where a claim is justified, the parties shall determine the appropriate remedy in accordance with the contract and applicable Portuguese law. Depending on the circumstances, this may include repair, replacement, correction of the order, a price adjustment, a refund or another legally appropriate remedy.
No return shall be arranged without prior written instructions from Remember Portugal, except where otherwise required by law.
The Customer should retain the affected products and their original packaging until the matter has been reviewed.
Nothing in this section prevents the Customer from exercising any contractual rights or remedies available under applicable law.
15. Transfer of Risk
Responsibility for loss of or damage to products shall transfer in accordance with the delivery arrangements agreed between the parties and applicable Portuguese law.
The Customer should notify Remember Portugal promptly of any loss or damage identified upon receipt, in accordance with Section 13.
Nothing in these Terms and Conditions excludes or limits liability where such exclusion or limitation is prohibited by law.
16. Intellectual Property
All content published on the Remember Portugal website, including text, photographs, graphics, logos, designs and other materials, is protected by applicable intellectual property laws, unless otherwise indicated.
Such content may not be copied, reproduced, distributed, modified or used for commercial purposes without the prior written consent of the relevant rights holder.
Any intellectual property supplied by the Customer remains the property of the Customer or its respective rights holder. The Customer grants Remember Portugal permission to use such material solely to the extent necessary to prepare and fulfil the agreed order.
The Customer is responsible for ensuring that the materials supplied do not infringe the rights of third parties.
17. Product Photography and Confidentiality
Remember Portugal may photograph products, packaging or gift arrangements prepared as part of its activities for portfolio, website or promotional purposes, provided that doing so does not disclose confidential information or breach applicable law.
Remember Portugal will not knowingly publish identifiable customer information, confidential business information or event details without the necessary permission.
Where the Customer requires an order to remain confidential or does not wish identifiable products or arrangements to be used for promotional purposes, this must be communicated in writing before order confirmation. Any agreed confidentiality obligations shall prevail.
18. Personal Data and Privacy
Remember Portugal processes personal data in accordance with applicable data protection legislation, including the General Data Protection Regulation (GDPR) and applicable Portuguese law.
Personal data may be processed for purposes including responding to enquiries, preparing quotations, processing orders and payments, arranging deliveries, communicating with Customers, fulfilling legal obligations and handling complaints or disputes.
Personal data shall be processed only where there is an appropriate legal basis and retained for no longer than necessary for the relevant purposes or as required by law.
Further information about the categories of personal data processed, the purposes and legal bases for processing, data retention, recipients and data subject rights is available in the Remember Portugal Privacy Policy published on the website.
For privacy-related enquiries, please contact hello@remember-portugal.com.
19. Force Majeure
Remember Portugal shall not be held responsible for delays or failure to perform its obligations to the extent caused by events beyond its reasonable control, including natural disasters, extreme weather, fire, war, civil unrest, strikes, epidemics, transport disruptions, supplier failures, public authority restrictions or interruptions to essential services.
Where such an event affects an order, Remember Portugal shall inform the Customer within a reasonable time and make reasonable efforts to minimise the impact.
The parties shall discuss an appropriate solution in light of the circumstances, which may include a revised delivery date or another mutually agreed arrangement.
This section does not affect any rights or remedies that cannot legally be excluded.
20. Complaints and Customer Support
Any questions, concerns or complaints regarding an order should be sent in writing to:
Email: hello@remember-portugal.com
Please include the order reference and sufficient details to allow Remember Portugal to review the matter.
Remember Portugal will endeavour to acknowledge and address complaints within a reasonable time.

21. Applicable Law and Jurisdiction
These Terms and Conditions and any contractual relationship between Remember Portugal and the Customer shall be governed by Portuguese law.
Any dispute arising from or relating to an order or these Terms and Conditions shall be submitted to the competent Portuguese courts, subject to the mandatory jurisdiction rules applicable to the parties and the dispute.
22. Severability and Final Provisions
If any provision of these Terms and Conditions is found to be invalid, unlawful or unenforceable, the remaining provisions shall remain in force to the extent permitted by law.
The invalid or unenforceable provision shall, where legally possible, be interpreted or replaced in a manner that most closely reflects its original purpose while complying with applicable law.
Failure by Remember Portugal to exercise or enforce any right under these Terms and Conditions shall not constitute a waiver of that right.
The version of these Terms and Conditions applicable to an order is the version in force when the order is confirmed, unless the parties expressly agree otherwise in writing or applicable law requires otherwise.
